Terms of Service
PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS.
1. Acceptance of Terms
Welcome to Verivent. By accessing or using our website, mobile application or related services (herein referred to as "the Platform"), either by creating an account, or purchasing a ticket, you agree to the Terms of Service (herein also referred to as "Terms"). The Terms are deemed to be a binding agreement between you ("the User") and Verivent Technologies Limited, a company duly registered in Nigeria with RC Number (RC: 9399096) having its office at 11, Odalume Street, Ladipo Bus stop, Oshodi, Lagos. Discontinuance of use due to disagreement with the Terms does not constitute to a binding agreement between the User and Verivent.
2. Definitions
The following terms shall have the meanings ascribed to them below, as used throughout these Terms of Service:
Verivent Properties
Verivent products and features available online through various Verivent sites, and off platform including entry management, sponsorship, application interfaces and subdomains ("Application").
Collective References
Organizers, Consumers and third parties accessing or using our Services are all referred to in these Terms collectively as "Users", "you" or "your". When the Terms use "Verivent", "we", "us", "our" that refers to Verivent Technologies Limited and its affiliates, subsidiaries, proxies and each of their respective officers, directors, agents, and employees.
- "Platform" means the website or mobile application or any related interface through which the Service is provided.
- "Terms" refers to the Terms of Service for the use of the Platform.
- "User" refers to any individual or entity (legal or corporate entity) using the Service, including event organizers, vendors and ticket purchasers.
- "Consumers" / "Attendees" means individuals or organizations using our Services for any reason, including to consume information and/or attend events.
- "Materials" includes information, data, text or editorial contents, graphics, images, photographs, videos, music and any other related resources.
- "Organizers" means an event creator using our Services to create events for users.
- "Services" includes Verivent's Properties and the Organizer Services.
- "Site Content" refers to Materials contained in or delivered through the Services or made available by Verivent.
- "Your Content" is any material that you contribute, provide, post or make available using the Services, or that you contribute, provide, post or make available to us, or that you authorize us to use.
- "Your Trademarks" are the trademarks, names, marks and logos that you contribute, provide, post or make authorize us to use.
3. Platform Role and Overview
Verivent is a digital marketplace and intermediary that enables discovery of events, facilitates ticket sales between Organizers and Attendees, provides event management tools offering a community of networking and communication features.
3.1 What Verivent Does
Verivent enables discovery of events, facilitates ticket sales between Organizers and Attendees, and provides event management tools offering a community of networking and communication features.
3.2 What Verivent Does Not Do
Verivent does not organize, host, or produce events, control or guarantee event quality, safety, legality, or execution, act as an agent or partner of Organizers or Attendees, or provide insurance or liability coverage for events. The Platform does not guarantee the quality, safety, legality or execution of any event. All transactions including ticket purchases are made at the user's risk.
3.3 Important Notice
Verivent acts solely as a technology service provider and marketplace facilitator. To the permissible extent of the law, Verivent shall not be responsible for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss profits, data, goodwill or business interruption arising from: your inability to use the Platform as a result of any act or omission independent of our inadequacies; errors or inaccuracies in event listings; or the conduct or negligence of any event organizer(s).
4. Eligibility and Accounts
To use this Platform, you must be at least 18 years of age or the age of majority in your jurisdiction.
4.1 On Behalf of an Organization
If you are using the Platform on behalf of an organization, company or any other legal entity, you represent that you are authorized to bind such entity to these Terms. If you are under the age of 18 or the age of majority in your jurisdiction, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
4.2 Account Suspension
Verivent reserves the right to suspend or terminate your account or restrict your access to the Platform if we have reasons to believe you are not eligible or have provided false or misleading information.
4.3 Registration Requirements
You must be at least 18 years of age or the age of majority in your legal jurisdiction and legally authorized to act on behalf of your organization or business to create or organize an event using the Platform. Likewise, you must complete the Know Your Customer (KYC) verification process before using the Platform.
4.4 KYC Verification
KYC verification may require submission of: a valid government-issued ID card (e.g international passport, national ID, or driver's license); proof of address (e.g utility bill, tenancy agreement); corporate documentation (for registered businesses) such as CAC certificates or Business Name registration; and bank account details for payout processing.
- You are legally capable of entering into a binding agreement.
- All registration information you submit is truthful, accurate, and complete.
- You will maintain the accuracy of the information and make prompt update subject to change.
- Your use of the Platform does not violate any applicable law or regulation.
5. User Conduct
You agree that your use of the Platform will not violate any laws or regulations, including consumer protection, data protection, and financial transaction laws applicable in Nigeria and other jurisdictions where the Service is offered/being used.
5.1 Enforcement
Violations of the above grants Verivent the right to remove, suspend, terminate accounts or take legal action.
5.2 User Responsibilities
By accessing or using Verivent, you agree to act responsibly, lawfully and respectfully while interacting with the Platform, its users and third parties. You must maintain accurate account information, protect login credentials, enable security features where available, and accept responsibility for all activities on your account.
5.3 Account Verification
We may require identity or brand verification at any time in order to keep accounts updated. Failure to comply might lead to suspension or termination of account.
5.4 The "One Account" Rule
A user can only maintain one personal account at a time unless with express authorization from us.
- Harass, abuse, threaten, discriminate or behave in any manner unacceptable towards others.
- Engage in fraudulent or deceptive activity.
- Bypass Platform policies.
- Violate event organizer or attendee rules.
- Circumvent Platform security.
- Impersonate others.
- Send/spread spam or malicious contents.
- Post adult, violent or illegal contents.
6. Organizer Responsibilities
You agree that your use of the Platform will not violate any laws or regulations, including consumer protection, data protection, and financial transaction laws applicable in Nigeria and other relevant jurisdictions. Organizers are solely responsible for the following:
6.1 Accuracy of Event Information
You are solely responsible for providing complete, truthful and up to date information about your event, including the date, time, venue and description, pricing, capacity and any limitations (e.g age restrictions, dress codes, and safety requirements).
6.2 Event Delivery
You agree that all advertised events will be conducted as described and that you will take all reasonable steps to deliver a safe, legal and organized experience for all ticket holders.
6.3 Compliance With Laws
You agree to comply with all applicable laws, regulations, and industry standards, including local licensing and event permits; noise, health and safety, and fire regulations; tax and consumer protection obligations; and age-restricted events and child protection laws where applicable.
6.4 Refunds and Customer Service
You are responsible for setting and managing ticket prices, categories and inventory. You agree not to manipulate ticket availability or engage in deceptive pricing practices.
6.5 Event Cancellations and Changes
If your event is canceled, rescheduled, or materially changed, you agree to notify affected attendees promptly and work with the platform to process refunds or communicate alternatives, where applicable.
6.6 Platform Integrity
You shall not attempt to circumvent the platform by directing ticket buyers off-platform, misrepresenting your affiliation with Verivent, or engaging in activities that harm the platform's reputation.
6.7 Intellectual Property and Permissions
You confirm that you own or have obtained all necessary rights and permissions to use any logos, images, music, or other contents used in connection with your event listings or promotions.
6.8 Indemnity
You agree to indemnify and hold harmless Verivent, its affiliates, subsidiaries and employees from any claims, damages, or liabilities arising from your failure to fulfill your responsibilities under this clause.
7. Payments and Fees
Payments are facilitated through secure third-party payment gateways as made available on the Platform. All payments must be made in Nigerian Naira, unless otherwise specified.
7.1 Tickets Availability and Pricing
All tickets made available through Verivent are subject to availability. Ticket prices are set by Organizers and may be subject to change at any time without notice. Prices may include applicable taxes, service fees and payment processing charges.
7.2 Contract between Attendees and Organizers
All ticket purchases form a direct contract between the Attendees and Organizers. Verivent is merely an intermediary.
7.3 Service Fees
We may charge a service fee for using the Platform, which will be clearly displayed at checkout. These fees are non-refundable even in cases where an event is canceled or rescheduled.
7.4 Fraud Prevention
For the protection of Users, Verivent may withhold or delay payouts for verification, disputes or fraud prevention. We reserve the right to request additional information, cancel orders, or deny ticket delivery if fraudulent activity is suspected.
7.5 Sales Final and Irrevocable
Except where explicitly stated in the event's refund policy, all tickets are final and non-refundable. Any refund, exchange or cancellation is subject to the organizer's discretion and may require processing through the Platform.
9. Intellectual Property
You are solely responsible for your Contents and Trademarks. You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right and license to access, use, reproduce, transmit, adapt, modify, display, distribute, translate, publish, and create derivative works based on Your Content and Your Trademarks.
9.1 Use of Your Content
Your Content, in whole or in part, in any media, may be used for: the purpose of operating the Services (including but not limited to our promotional and marketing services, which may include promotion of you and your Verivent events on a third-party website or any other media, including our event distribution providers and our social media properties); Verivent's internal purposes (such as employee or shareholder communications); and when you give your permission, for the purposes of promoting the Platform or our Services.
9.2 Use of Your Trademarks
Your Trademarks may be used in connection with our use of Your Content, and for the purpose of identifying you as an existing or past customer of Verivent both on the Services and in marketing, advertising and promotional materials.
9.3 Ownership and Moral Rights
We do not claim ownership to Your Content or Your Trademarks, but these licenses are essential to provide you the Services and help your Verivent Events. You hereby waive any and all moral rights in connection with our use of Your Content. Asides from these licenses, we do not claim, and you do not transfer, any ownership rights in any of Your Contents or Your Trademarks.
9.4 Content Removal and Preservation
We reserve the right to remove Your Contents from the Platform if we believe that Your Content or Your Verivent Events violate these Terms, our Community Guidelines, or for any other reason. We may also preserve and disclose Your Content and Trademark, Registration Data, and all other data associated with you if required to do so by law or in good belief that such preservation or disclosure is reasonably necessary to: comply with legal process; respond to claims that any of Your Content or Trademarks violate the rights of third parties; enforce or administer these Terms; and/or protect the personal safety of us, our Users and/or the public, including fraud prevention.
10. Disclaimer and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. VERIVENT IS NOT LIABLE FOR EVENT OUTCOMES, USER CONDUCT, OR INDIRECT OR CONSEQUENTIAL DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Release and Indemnification
To the fullest extent permitted by the applicable laws, you hereby release and forever discharge Verivent, its affiliates, officers, subsidiaries, agents, directors and service providers from any and all claims, demands, losses, liabilities, damages, costs, or expenses (including legal fees) arising out of or related to your use of the Platform, the actions of any event organizer, attendee, venue or third party, and any dispute between you and another user or third party in connection with an event or ticket transaction.
- Your breach of these Terms of Service.
- Your violation of any law or the rights of a third party (including intellectual property or privacy rights).
- Your misuse of the Platform or involvement in a prohibited activity.
- Any content you submit or actions you take as an organizer, including event listings, promotions or failure to deliver an event as described.
12. Third Party Disputes
Verivent is not responsible for mediating or resolving any disputes between users, event organizers, attendees, or any other third parties. You agree to release the Platform from any claims or damages arising from such disputes.
13. Agreement
Except as otherwise stated in these Terms, these Terms are the entire agreement between you and us and govern your use of the Services, superseding any prior agreements, proposals, discussions, or communications between you and Verivent on the subject matter of these Terms, other than any written agreement for Services between you and us relating to a specified event or events.
14. Governing Law
This agreement is governed by the Laws of the Federal Republic of Nigeria. Any dispute must be settled or adjudicated in the multidoor court-house via mediation, conciliation or arbitration and, in the event that they are unsuccessful, the state or federal courts all whose jurisdiction the Parties hereby consent.
15. Termination
These Terms apply when you access our Services by any means and will continue to apply until they are terminated. There may come a time when either you or Verivent decides it's best to part ways, when that happens, these Terms will generally no longer apply. However, certain provisions will always remain applicable to both you and us.
15.1 Revocation of Access
We may suspend or terminate your right to use the Services at any time if: you violate or breach these Terms or any other agreement between you and us, or if you fail to pay any amounts when due; you misuse or abuse the Services, or use the Services in a way not intended or permitted by us; you engage in any conduct on the Verivent Properties that jeopardizes the safety of our community or integrity of the Verivent Properties or interferes with the experience of our community; or allowing you to access and use the Services would violate any applicable local, state, provincial, national, or other laws, rules and regulations or court order or would expose us to legal liability.
15.2 Service Changes
We may choose to stop offering the Services, or any particular portion of the Services, or modify or replace any aspect of the Services, at any time. We will use reasonable efforts to provide you with notice of our termination of your access to the Services. You agree that we will not be liable to you or any third party as a result of our termination of your right to use or otherwise access the Services.
15.3 User Termination
You may terminate your access to the Services and the general applicability of Terms by deleting your account, so long as you continue to access the Services even without an account, these Terms remain in effect. All provisions of these Terms that by their nature should survive termination of these Terms will survive (i.e they will continue to apply to you) including all limitations on liability, releases, indemnification, disclaimers or warranties, agreements to arbitrate, choices of law and judicial forum, and intellectual property protections and licenses.
16. Modifications
We may update these Terms of Service from time to time. We will notify you of major changes, and continued use of the platform constitutes agreement to the updated Terms.

8. Social and Community Features
Users must engage with each other respectfully. Communications may be moderated and we may access communications to enforce policies, ensure safety, or comply with law. Messages are not end to end encrypted — do not share sensitive information on the Platform.
