1. Acceptance of Terms

Welcome to Verivent. By accessing or using our website, mobile application, or related services (collectively, the "Platform"), creating an account, or purchasing a ticket, you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use immediately. These Terms constitute a binding agreement between you ("User," "you") and Verivent Technologies Limited, a company duly registered in Nigeria with RC Number [RC NUMBER] ("Verivent," "we," "us"). If you access the Platform from outside Nigeria, you do so at your own initiative and are responsible for compliance with applicable local laws.

2. Platform Role and Overview

Verivent is a technology marketplace and intermediary. Verivent does not organize, host, sponsor, or produce events, control or guarantee event quality, safety, legality, or execution, act as an agent or partner of Organizers or Attendees, or provide insurance or liability coverage for events. Verivent acts solely as a technology service provider and marketplace facilitator.

3. Eligibility and Accounts

You must be at least 18 years old to create an account. You must provide accurate and complete information including your legal name or business name, email address, phone number, and password. We may require identity or business verification at any time — failure to comply may result in suspension or termination. You may maintain only one personal account unless expressly authorized.

4. User Conduct

You agree not to engage in any of the following prohibited activities on the Platform. Violations may result in content removal, suspension, termination, or legal action.

• •Circumvent Platform security
• •Impersonate others
• •Send spam or malicious content
• •Post adult, violent, or illegal content

5. Organizer Responsibilities

Organizers are solely responsible for all aspects of their events. Verivent bears no responsibility for Organizer failures.

• •Event safety, compliance, and execution
• •Handling attendee complaints in good faith
• •Clearly stating refund and cancellation policies

6. Payments and Fees

All financial transactions on the Platform are governed by the following terms.

• •All ticket purchases form a direct contract between Attendees and Organizers
• •Payments are processed by third-party providers
• •Verivent service fees are disclosed at checkout
• •Verivent may withhold or delay payouts for verification, disputes, or fraud prevention
• •Fraudulent chargebacks may result in account suspension

7. Social and Community Features

Users must engage respectfully on all community and social features of the Platform. Communications may be moderated. Messages may not be end-to-end encrypted. Verivent may access communications to enforce policies, ensure safety, or comply with law.

8. Intellectual Property

All Platform content belongs to Verivent or its licensors. Users retain ownership of their content but grant Verivent a global, royalty-free license to use it for Platform operations.

9. Disclaimer and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. VERIVENT IS NOT LIABLE FOR EVENT OUTCOMES, USER CONDUCT, OR INDIRECT OR CONSEQUENTIAL DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify Verivent against claims arising from your use of the Platform, events you organize, or violation of these Terms.

11. Dispute Resolution

These Terms are governed by Nigerian law. Disputes shall be resolved by arbitration in Lagos under the Arbitration and Mediation Act 2023, except that Verivent may seek injunctive relief in court for intellectual property or platform misuse.

12. Termination

We may suspend or terminate accounts for violations, fraud, or legal risk. You may terminate your account at any time.

13. Modifications

We may update these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
